About the role
Seeking an experienced Contracts Manager II to join its Legal Department’s R&D Contracting team. Reporting to the Associate Corporate Counsel, Contracts, you’ll support Clinical Development, Clinical Operations, Medical Affairs, Regulatory Affairs, Research, and other R&D functions.
This role is a strong fit for a hands-on contracts professional who can independently draft, review, redline, and negotiate clinical and research agreements. You’ll work closely with internal teams and external counterparties, providing practical, risk-aware contracting guidance in a collaborative, fast-paced environment.
What you’ll do
- Draft, review, redline, negotiate, and manage research and development agreements, including Clinical Trial Agreements (CTAs), Confidential Disclosure Agreements (CDAs), consulting agreements, vendor and Master Services Agreements (MSAs), work orders, Statements of Work (SOWs), Investigator-Initiated Study (IIS) agreements, Material Transfer Agreements (MTAs), Data Use Agreements (DUAs), collaborative research agreements, and amendments.
- Negotiate directly with counterparties and manage contracts from intake through execution.
- Provide practical guidance to business partners on contract terms, obligations, and risk mitigation.
- Identify legal, contractual, operational, and compliance risks; communicate them to stakeholders and recommend solutions.
- Partner with teams across Clinical Development, Clinical Operations, Medical Affairs, Regulatory Affairs, Research, Biometrics, Procurement, and Finance.
- Help develop and maintain contract templates, negotiation playbooks, and standard operating procedures.
- Support contracting process improvements, systems, and special projects.
Approximate workload: 60% CTAs, 30% CDAs, and 10% other R&D contracts.
What you’ll bring
- A bachelor’s degree and at least three years of recent, hands-on contracts experience supporting contract drafting and negotiation; or a JD and at least two years of related experience.
- Direct experience drafting, reviewing, redlining, and negotiating CTAs and other clinical-study-related agreements.
- Experience negotiating with counterparties—not solely contract administration or coordination.
- Experience in biotechnology, pharmaceuticals, clinical research
